Plain Sight Subscription Agreement

This Subscription Agreement (this "Agreement") constitutes a legal agreement between you, an individual or entity (“you”), and Get to Work, Inc., a Delaware corporation, d/b/a Plain Sight (“Plain Sight”). Each may be referred to as “Party” or collectively as the “Parties”.

  Agreement

1.  Acceptance

This Agreement is a legally binding contract between you and Plain Sight.  By checking the box at the bottom of the subscription payment form, you agree that your action is an acceptance of this Agreement.

2.  Incorporation

This Agreement incorporates Plain Sight's Terms of Use attached as Exhibit A ("Terms of Use") and your agreement to this Agreement also constitutes your agreement to the Terms of Use, in which you agree, without limitation, to arbitrate disputes between you and Plain Sight. If any provision in this Agreement conflicts with any provision in the Terms of Use, the conflicting provision in this Agreement will control.  The definitions set forth in the Terms of Use shall apply to any capitalized terms contained herein not otherwise defined. Additionally, your agreement to this Agreement, constitutes your acknowledgment and agreement to Plain Sight's Privacy Policy available at plainsight.app/privacy-policy (the "Privacy Policy"). 

3.  Subscription and Auto-Renewal 

The subscription to the Plain Sight Services includes enrollment into an ongoing and recurring monthly payment plan.  The billing cycle will be conducted on a per month basis with an appropriate proration based upon the date of subscription.  Subscriber shall receive a 90 day free initial trial.  After the 90 day trial period, Subscriber's subscription will automatically renew at the price of $99 per month charged to Subscriber's chosen payment method, unless cancelled in accordance with the instructions for cancellation below. Subscriber may discontinue the auto-renewal feature at any time.  Plain Sight reserves the right to change its pricing and billing. In the event of a price change, Plain Sight will attempt to notify Subscriber in advance by sending an email to the account's registered email address. If Subscriber declines to accept a price change, it may cancel its subscription in accordance with the instructions for cancellation below. If the subscription is not cancelled under the terms set forth in this Agreement, the subscription will be renewed at the price in effect at the time of the renewal, without any additional action by Subscriber, and Subscriber authorizes Plain Sight to charge for these amounts. 

Subscriber's subscription is a non-exclusive, non-transferable, non-sublicensable, non-assignable license to use the Plain Sight Services. 

4.  Trial Period

THE SUBSCRIPTION WILL BEGIN WITH A FREE TRIAL.  SUBSCRIBER EXPRESSLY AGREES THAT MONTHLY PAYMENT WILL BE CHARGED PURSUANT TO ITS CHOSEN PAYMENT METHOD FOLLOWING THE FREE TRIAL, UNLESS CANCELLED IN ACCORDANCE WITH THE INSTRUCTIONS FOR CANCELLATION BELOWSUBSCRIBER MAY CANCEL ITS SUBSCRIPTION ANY TIME BEFORE THE END OF THE 90-DAY FREE TRIAL. SUBSCRIBER WILL NOT RECEIVE A NOTICE THAT THE FREE TRIAL IS ABOUT TO END OR HAS ENDED, OR THAT THE PAID SUBSCRIPTION HAS BEGUN.

5.  Cancellation 

Subscriber maintains the right to cancel its subscription at any time.  The instructions for cancellation are as follows: send an email to finances@plainsighthq.com stating that you’d like to end your subscription with the name of the space you’d like to cancel.  Upon cancellation Subscriber shall not be eligible to receive a refund for the current subscription month.  In addition, Subscriber must cancel its subscription before the 25th day of each month in order for the cancellation to be effective for the following month's billing cycle.  Thus, if Subscriber cancels after the 25th day of the month, the subscription will remain active and Subscriber will be charged for the following month.

6.  Refunds 

Plain Sight does not provide refunds or credits, including for partially used billing periods or events. Subscriber agrees that Plain Sight may, at any time in its sole discretion and without liability to Subscriber, restrict, suspend, or terminate Subscriber's access to the Plain Sight Services if Plain Sight believes that Subscriber is using or has used the Plain Sight Services in violation of this Agreement or applicable law or regulations or in any manner other than for its intended purpose. In addition, if Subscriber's payment method fails, Plain Sight will send up to three emails seeking an updated payment method, and reserves the right to terminate the Plain Sight Services after these email attempts. Without limiting the foregoing, Plain Sight may restrict or suspend Subscriber's access to the Plain Sight Services upon reasonable notice to Subscriber, for cause, which includes, but is not limited to, (a) requests from law enforcement or other government authorities, (b) unexpected technical issues or problems, or (c) if Plain Sight reasonably believes that Subscriber's access to the Plain Sight Services has been obtained fraudulently, or anyone uses Subscriber's username and password to commit fraud or for other than their intended purpose. In addition, Subscriber understands that Plain Sight may modify or cease providing all or a portion of the Plain Sight Services at any time.

7.  Changes to Agreement

Plain Sight may, from time to time, change this Agreement. Such revisions shall be effective immediately.
